Job Summary:

The Corporate Counsel is responsible for drafting, reviewing, negotiating and maintaining client sales contracts for services and technology solutions and working with legal, sales leadership and other departments to help ensure that there is consistency, compliance and scalability throughout the contracting process. In addition, you will be responsible for day-to-day legal processes such as employment matters, financings, compliance, and managing our external counsel.

Location: Downtown, Atlanta, GA

Reports To: Executive Vice President, CFO

Responsibilities:

  • Review and negotiate a wide range of contracts including service agreements, licensing agreements, NDAs, independent contractor agreements, and other commercial agreements.

  • Work closely with other departments including Sales and Accounting to effectively manage contracts and develop and manage contracting process.

  • Build, manage and maintain a contracts database for the company.

  • Participate in development and implementation of policies and procedures for contract management.

  • Manage contract life cycle, including drafting, negotiations, execution, extensions, and as well as renewals.

  • Advise internal departments of contractual rights and obligations and identify risks.

  • As the primary day-to-day legal counsel, you will work closely with the executive team (CEO, CFO, CSO, etc.) on the routine legal issues that arise.

  • Manage relationships with outside counsel.

  • Meet routine deadlines and work schedules as well as timely and accurate completion of special projects and any other duties as assigned.

  • Display a positive attitude as well as professional, polite, considerate and courteous conduct and treatment of others in the course of duties.

  • Carry out the role and responsibilities as defined in the Juvare Information Security Governance Plan.

  • Provide overall governance of the information security program.

  • Provide opportunity for program unit inputs to, and outputs from, the information security program.

  • Encourage awareness of security efforts and support integration of security into everyday working processes.

  • Must approve information security standards.

  • Must approve information security program strategic plans.

  • Must review information security program status and associated risk levels.

  • Must review and act upon metrics for efficiency and effectiveness of the information security program.

Qualifications:

  • Juris Doctor degree required.

  • GA Bar License required.

  • 5+ years’ contract and legal experience in a corporate environment.

  • Ability to safely and successfully perform essential job functions consistent with the ADA, FMLA and other federal, state and local standards, including meeting qualitative and/or quantitative productivity standards.

Skills/ Knowledge Requirements:

  • Demonstrated ability to manage contract function independently and provide leadership in contracts administration.

  • Experience with contract database tools, in addition to substantial knowledge in building and maintaining a contract database.

  • Excellent interpersonal, written and oral communication skills.

  • Strong attention for detail with an ability to prioritize divergent tasks.

  • Work with a high degree of autonomy, but able to successfully collaborate and build relationships with colleagues in a distributed work environment.

  • Willingness to take on projects outside of normal responsibilities.

  • Must possess good judgment, and an ability to exercise discretion.

  • Outstanding client service skills required.
